3 Engagements & Contracts
All professional engagements with MARKs Atelier are formalised through a written agreement or proposal letter. A project commences only upon:
- Receipt of a signed agreement or written acceptance from the client
- Payment of any agreed advance or retainer fee
Verbal commitments, enquiries, or informal discussions do not constitute a binding engagement. Any modifications to an agreed scope of work must be documented in writing and may involve revision of fees and timelines.
4 Fees & Payments
Our fees are outlined in the project proposal or engagement letter. The following general payment terms apply unless otherwise agreed in writing:
- An advance payment is required before commencement of any design or construction work
- Milestone-based payments are due as specified in the project agreement
- All payments are to be made in Indian Rupees (INR) unless otherwise specified
- Late payments may attract interest or result in suspension of services
- Fees for additional work outside the agreed scope will be quoted separately and require written approval
Note: All taxes, including GST as applicable under Indian law, are payable in addition to the agreed fees unless explicitly stated as inclusive.
5 Intellectual Property
All designs, drawings, concepts, presentations, documents, and other creative works produced by MARKs Atelier remain the intellectual property of MARKs Atelier until full payment for the relevant project phase has been received.
- Upon receipt of full and final payment, clients are granted a non-exclusive licence to use the deliverables for the specific project they were created for
- Designs may not be reproduced, modified, or used for other projects without prior written consent from MARKs Atelier
- MARKs Atelier retains the right to use project images, drawings, and descriptions for its portfolio and marketing materials unless the client expressly requests otherwise in writing
All content on the MARKs Atelier website — including text, images, logos, and graphics — is the property of MARKs Atelier and may not be reproduced without permission.
6 Client Responsibilities
To ensure successful project delivery, clients are expected to:
- Provide accurate and complete information required for the project, including site details, legal documents, and approvals
- Make timely decisions and approvals at each stage of the project
- Ensure site access and availability of utilities as required during construction phases
- Make payments as per the agreed schedule
- Communicate any changes or concerns in writing promptly
Delays caused by the client's failure to meet these responsibilities may result in revised project timelines and may attract additional fees.
7 Confidentiality
Both parties agree to maintain confidentiality with respect to sensitive project information, client data, and proprietary business details shared during the course of the engagement. Neither party shall disclose such information to third parties without prior written consent, except as required by law.
This obligation of confidentiality continues for a period of three (3) years following the conclusion of the engagement.
8 Limitation of Liability
To the fullest extent permitted by applicable law, MARKs Atelier shall not be liable for:
- Any indirect, incidental, consequential, or punitive damages arising from the use of our services or website
- Loss of profits, data, goodwill, or business opportunities
- Delays or deficiencies caused by circumstances beyond our reasonable control, including natural disasters, strikes, or third-party contractor failures
- Any representations or warranties made by third-party contractors, vendors, or suppliers engaged during the project
Our maximum liability in connection with any project shall not exceed the total fees paid by the client for the specific project phase in dispute.
9 Warranties & Disclaimers
MARKs Atelier endeavours to deliver services with professional care and skill. However:
- The website is provided on an "as is" and "as available" basis without warranties of any kind
- We do not guarantee that the website will be uninterrupted, error-free, or free of viruses or other harmful components
- Information on the website is for general informational purposes only and does not constitute professional advice for any specific project without a formal engagement
Construction outcomes may vary based on site conditions, material availability, and third-party factors outside our direct control.
10 Termination
Either party may terminate the engagement by providing written notice as specified in the project agreement. Upon termination:
- The client shall pay for all work completed up to the date of termination
- MARKs Atelier shall deliver all completed work and documents for which full payment has been received
- Any advance payments are non-refundable unless otherwise stipulated in the project agreement
- Intellectual property rights remain with MARKs Atelier for work not fully paid for
11 Governing Law & Dispute Resolution
These Terms & Conditions are governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these terms or our services shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka.
We encourage parties to first attempt resolution through good-faith negotiation before initiating any formal legal proceedings.
12 Changes to These Terms
MARKs Atelier reserves the right to update or modify these Terms & Conditions at any time. Changes will be effective immediately upon posting on the website with an updated "Last Updated" date.
